My experience with ORO24 Developments has been deeply disappointing, primarily due to the Sales & Purchase Agreement (SPA) and the Project Management Agreement (PMA), which I found to be unbalanced, opaque, and heavily skewed in favor of the developer.
Major Issues Experienced
1. Highly one-sided SPA
The SPA is drafted almost entirely to protect the developer, with limited safeguards for the buyer. Several clauses significantly restrict buyer rights while granting extensive discretion to ORO24, including on timelines, variations, and obligations. Meaningful buyer protection is minimal.
2. PMA lacks transparency and accountability
The PMA is particularly problematic. The scope of services is vague, with no clear service-level commitments, performance guarantees, or measurable deliverables. Despite paying management-related fees, the buyer carries disproportionate risk without clear accountability from the developer or project manager.
3. Critical ambiguities only surface after signing
Key limitations, exclusions, and risks are not clearly highlighted upfront during the sales phase. Important clarifications only emerge after careful legal review or persistent questioning, which is unacceptable for contracts of this magnitude.
4. Resistance to clarification or amendment
Requests for reasonable clarification or contractual balance were met with rigidity and refusal to amend, regardless of how legitimate or industry-standard the concerns were. The approach appears to be “take it or leave it.”
5. Time-consuming and stressful process
Obtaining clear answers required repeated follow-ups and escalations, creating unnecessary stress and delays. Buyers should not have to fight for basic contractual clarity.
Overall Assessment
ORO24’s business model appears to rely on non-negotiable, developer-centric contracts that transfer risk almost entirely to the buyer. This may be acceptable to highly experienced investors with strong legal backing, but for most buyers, the lack of balance and transparency is concerning.
I would strongly caution prospective buyers to:
Engage an independent real estate lawyer before signing anything
Scrutinize both the SPA and PMA in detail
Fully understand long-term obligations, exclusions, and risks
Not rely solely on sales explanations
Final Note
While the project marketing and initial presentation are appealing, the contractual reality does not match the sales narrative. Based on my experience, I would not recommend proceeding with ORO24 without extreme due diligence.
